高新技术企业的治理机制研究[1]

摘要： 与传统企业相比，高新技术企业更注重高级管理人员、高级技术人员和风险投资者的作用，而且他们对企业成长的影响充分地体现出高度的团队协作特点。基于高新技术企业及其成长的特点，本文建立了一个委托代理模型分析了高新技术企业的治理机制，得到了三个代理人即高级管理人员、高级技术人员和风险投资者的最优能力的赋予、委托人即企业所有者对他们进行激励的强度以及委托人的最优利益所得，以我国高新技术企业的发展实践对理论分析进行了实证，这为高新技术企业发展提供了政策含义。

 A Study on Governance Mechanism of High-tech Enterprise

Abstract: Compared with traditional enterprise, High-tech enterprise focuses more on the action of super managers, higher technicians and risk investors which fully show the characteristic of higher team cooperation. Based on the characteristic of High-tech enterprise and its development, this paper establishes a principle-agent model and analyses the governance mechanism of High-tech enterprise, and also makes an empirical analysis on the development of High-tech enterprises in China, thus which provides a policy expression for the development of High-tech enterprises.
